1. OURROLE
In its role as Auctioneer of Lots, Turner & Sons acts solely forand in the interests of the Seller.Turner & Sons’ job is to sell theLotatthe highest price obtainable at the Sale to a Bidder.Turner & Sonsdoes not act for Buyers or Bidders in this role and doesnotgive advice to Buyers or Bidders. When it or its staffmakestatements about a Lot or, if Turner & Sons provides aConditionReport on a Lot it is doing that on behalf of the Seller oftheLot. Bidders and Buyers who are themselves not expertin
the Lots are strongly advised to seek and obtainindependentadvice on the Lots and their value before bidding forthem.The Seller has authorised Turner & Sons to sell the Lot as itsagent on its behalf and, save where we expressly make it cleartothe contrary, Turner & Sons acts only as agent for the Seller.Anystatement or representation we make in respect of a Lotismade on the Seller’s behalf and, unless Turner & Sons sells aLot as principal, not on our behalf and any Contract for Saleis between the Buyer and the Seller and not with us. 2. LOTS
Subject to the Contractual Description printed in boldlettersin the Entry about the Lot in the Catalogue (see paragraph3below), Lots are sold to the Buyer on an “as is” basis, withall faults and imperfections. Illustrations andphotographs contained in the Catalogue (other than photographsforming part of the Contractual Description) or elsewhere of anyLotsareforidentificationpurposesonly.Theymaynotrevealthe
true condition of the Lot. A photograph or illustration maynotreflect an accurate reproduction of the colour(s) of the Lot.Lotsare available for inspection prior to the Saleand it is for you tosatisfy yourself as to each and every aspect of a Lot,including its authorship, attribution, condition, provenance,history,background, authenticity, style, period, age, suitability,quality,roadworthiness(ifrelevant),origin,valueandestimatedsellingprice(includingtheHammerPrice).Itisyourresponsibility
to examine any Lot in which you are interested. It shouldberemembered that the actual condition of a Lot may not beasgood as that indicated by its outward appearance. Inparticular,parts may have been replaced or renewed and Lots maynot
be authentic or of satisfactory quality; the inside of a Lotmaynot be visible and may not be original or may bedamaged,asforexamplewhereitiscoveredbyupholsteryormaterial.Given the age of many Lots they may have been damagedand/or repaired and you should not assume that a Lotis ingoodcondition.Electronicormechanicalpartsmaynotoperateormaynotcomplywithcurrentstatutoryrequirements.Youshouldnotassumethatelectricalitemsdesignedtooperateonmainselectricitywillbesuitableforconnectiontothemainselectricitysupplyandyoushouldobtainareportfroma qualified electrician on their status before doing so.Suchitems which are unsuitable for connection are sold as itemsofinterest for display purposes only. If you yourself do nothaveexpertise regarding a Lot, you should consult someonewhodoes to advise you. Please ask our staff fordetails.
Any person who damages a Lot will be held liable forthelosscaused.
3. DESCRIPTIONS OF LOTS ANDESTIMATES
Contractual Description of aLot
The Catalogue contains an Entry about each Lot. EachLot is sold by its respective Seller to the Buyer of the Lotascorresponding only with that part of the Entry whichis printed in bold letters and (except for the colour, whichmaybe inaccurately reproduced) with any photograph of theLot in the Catalogue. The remainder of the Entry, which isnotprintedinboldletters,representsTurner & Sons’opinion(givenon behalf of the Seller) about the Lot only and is not part oftheContractual Description in accordance with which the Lotissold by theSeller.
Estimates
Inmostcases,anEstimateisprintedbesidetheEntry.Estimatesare only an expression of Turner & Sons’ opinion made onbehalf
of the Seller of the range where Turner & Sons thinks theHammerPrice for the Lot is likely to fall; it is not an Estimate ofvalue.It does not take into account any VAT or Buyer’sPremiumpayable. Lots can in fact sell for Hammer Prices belowand
above the Estimate. Any Estimate should not be relied on asan indication of the actual selling price or value of a Lot.Estimatesare in the currency of theSale.
The Seller’s responsibility toyou
The Seller does not make or agree to make anyrepresentationof fact or contractual promise, Guarantee or warrantyand undertakes no obligation or duty, whether in contract orintort (other than to the eventual Buyer as set out above),inrespectoftheaccuracyorcompletenessofanystatement
or representation made by him or on his behalf, which isinany way descriptive of any Lot or as to the anticipatedorlikely selling price of any Lot. Other than as set out above,no statement or representation in any way descriptive ofaLot or any Estimate is incorporated into anyContract forSalebetween a Seller and aBuyer.
Turner & Sons’ responsibility toyou
You have the opportunity of examining the Lot if you wanttoand the Contract for Sale for a Lot is with the Seller andnotwith Turner & Sons; Turner & Sons acts as the Seller’s agent only(unlessTurner & Sons sells the Lotasprincipal). Turner & Sons undertakes no obligation to you toexamine,investigate or carry out any tests, either in sufficient depthorat all, on each Lot to establish the accuracy or otherwise ofanyDescriptions or opinions given by Turner & Sons, or by anypersonon Turner & Sons’ behalf, whether in the Catalogue orelsewhere. 4. CONDUCT OF THESALE
Our Sales are public auctions which persons may attendand you should take the opportunity to do so. We do reservetheright at our sole discretion to refuse admission to ourpremisesor to any Sale without stating a reason. We havecompletediscretion as to whether the Sale proceeds, whether any Lotisincluded in the Sale, the manner in which the Sale isconductedand we may offer Lots for Sale in any order wechoosenotwithstanding the numbers given to Lots in theCatalogue.You should therefore check the date and starting time oftheSale, whether there have been any withdrawals or lateentries.Remember that withdrawals and late entries may affectthetime at which aLot you are interested in is put up for Sale.Wehave complete discretion to refuse any bid, to nominateanybidding increment we consider appropriate, to divide anyLot,to combine two or more Lots, to withdraw any Lot from a Saleand, before theSale has been closed, to put up any Lotforauction again. Auction speeds can exceed 100 Lots to thehourand bidding increments are generally about 10%.Howeverthese do vary from Sale to Sale and from AuctioneertoAuctioneer. Where a Reserve has been applied toaLot, the Auctioneer may, in his absolute discretion, placebids(up to an amount not equalling or exceeding such Reserve)on behalf of the Seller. We are not responsible to you in respectofthe presence or absence of any Reserve in respect of any Lot. Ifthere is a Reserve it will normally be no higher than thelowerfigure for any Estimate in the Catalogue, The Buyer will be the Bidderwhomakes the highest bid acceptable to the Auctioneer for anyLot (subject to any applicable Reserve) to whom the Lot isknocked down by the Auctioneerat the fall of the Auctioneer’shammer.Any dispute as to the highest acceptable bid will be settledbythe Auctioneer in his absolute discretion. 5. BIDDING
We do not accept bids from any person who hasnotcompleted and delivered to us one of our BiddingForms,either our Bidder Registration Form, Absentee BiddingFormor Telephone Bidding Form. You will be asked for proof of
identity, residence and references, which, when asked for,youmust supply if your bids are to be accepted by us. Pleasebring your passport, driving licence (or similar photographicproof
of identity) and proof of address. We may request adepositfrom you before allowing you to bid. We may refuseentryto a Sale to any person even if that person has completedaBiddingForm.

Bidding through an agent
Bids will be accepted as placed on behalf of the personnamedas the principal on the Bidding Form although we mayrefuseto accept bids from an agent on behalf of a principal andwillrequire written confirmation from the principalconfirming
the agent’s authority to bid. Nevertheless, as theBidding Form explains, any person placing a bid as agent onbehalfof another (whether or not he has disclosed that fact orthe identityofhisprincipal)willbejointlyandseverallyliablewiththe principal to the Seller and to Turner & Sons under anycontractresulting from the acceptance of a bid. 6. CONTRACTS BETWEEN THE BUYER ANDSELLERAND THE BUYER ANDTURNER & SONS
On the Lot being knocked down to the Buyer, a Contractfor Sale of theLot will be entered into between the Seller and the Buyer on the terms of the Contract for Sale set out inAppendix 1. You will be liabletopay the Purchase Price, which is the Hammer Price plusanyapplicable VAT. At the same time, a separate contract isalsoentered into between us as Auctioneers and the Buyer.This
is our Buyer’s Agreement, the terms of which are set outinAppendix 2. Please read thetermsof the Contract for Sale and our Buyer’s Agreement containedin the Catalogue in case you are the successfulBidder.We may change the terms of either or both of theseagreementsin advance of their being entered into, by setting out differentterms in the Catalogue and/or by placing an insert intheCatalogue and/or by notices at the Sale venue and/or byoralannouncements before and during the Sale. You shouldbealert to this possibility of changes and ask if there havebeenany.
7. BUYER’SPREMIUMANDOTHERCHARGESPAYABLE BY THEBUYER
Under the Buyer’s Agreement, a premium (theBuyer’sPremium) is payable to us by the Buyer in accordance withtheterms of the Buyer’s Agreement and at rates set outbelow, calculated by reference to the Hammer Price and payableinaddition to it. Storage charges and Expenses are alsopayableby the Buyer as set out in the Buyer’s Agreement. All thesumspayable to us by the Buyer are subject to VAT. For this Salethefollowing rates of Buyer’s Premium will be payable byBuyersofLots:
15%(18% including VAT) upto£50,000oftheHammerPrice
12.50%(15% Including VAT)from£50,001to£1,000,000oftheHammerPrice
OncertainLots,whichwillbemarked“AR”intheCatalogueand which are sold for a Hammer Price of €1,000 orgreater(converted into the currency of the Sale using theEuropeanCentral Bank Reference rate prevailing on the date of theSale),the Additional Premium will be payable to us by the Buyertocover our Expenses relating to the payment of royaltiesunderthe Artists Resale Right Regulations 2006. TheAdditional Premium will be a percentage of the amount of theHammerPrice calculated in accordance with the table below, andshallnot exceed €12,500 (converted into the currency of theSaleusing the European Central Bank Reference rate prevailingon the date of theSale).

8. VAT
The prevailing rate of VAT at the time of going to press is20%,but this is subject to government change and the ratepayablewill be the rate in force on the date of theSale.

9. PAYMENT
Itisofcriticalimportancethatyouensurethatyouhavereadilyavailable funds to pay the Purchase Price and theBuyer’sPremium (plus VAT and any other charges and Expenses tous)in full before making a bid for the Lot. If you are asuccessfulBidder, payment will be due to us by 1:30 pm on thefirstworking day after the Sale so that all sums are cleared by theSeventh workingdayaftertheSale.UnlessagreedbyusinadvancepaymentsmadebyanyoneotherthantheregisteredBuyerwillnotbeaccepted.Paymentwillhavetobebyoneofthefollowingmethods(allchequesshouldbemadepayabletoTurner & Sons).Turner & Sonsreservestherighttovarytheterms of payment at any time.

13. THESELLERSAND/ORTURNER & SONS’LIABILITY
Other than any liability of the Seller to the Buyer of aLot under the Contract for Sale, neither we nor the Sellerareliable (whether in negligence or otherwise) for any errorormisdescription or omission in any Description of a Lot oranyEstimate in respect of it, whether contained in theCatalogueor otherwise, whether given orally or in writing andwhethergiven before or during the Sale. Neither we nor the Sellerwill be liable for any loss of Business, profits, revenue or income,orfor loss of reputation, or for disruption to Business orwastedtime on the part of management or staff, or for indirectlossesor consequential damages of any kind, irrespective inany case of the nature, volume or source of the loss ordamage alleged to be suffered, and irrespective of whether thesaidloss or damage is caused by or claimed in respect ofanynegligence, other tort, breach of contract (if any) orstatutoryduty,restitutionary claimorotherwise.Inanycircumstanceswhere we and/or the Seller are liable in relation to any Lotor any Description or Estimate made of any Lot, or theconductof any Sale in relation to any Lot, whether in damages, foran indemnity or contribution, or for a restitutionary remedyorotherwise, our and/or the Seller’s liability (combined, ifbothwe and the Seller are liable) will be limited to payment ofasum which will not exceed by way of maximum theamountof the Purchase Price of the Lot irrespective in any case ofthenature, volume or source of any loss or damage alleged tobesuffered or sum claimed as due, and irrespective ofwhethertheliabilityarisesfromanynegligence,othertort,breach
of contract (if any) or statutory duty or otherwise.Nothingsetoutabovewillbeconstruedasexcludingorrestricting(whether directly or indirectly) our liability or excluding or restrictinganyperson’srightsorremediesinrespectof(i)fraud,or(ii)deathorpersonalinjurycausedbyournegligence(orbythenegligenceofanypersonunderourcontrolorforwhomwearelegallyresponsible),or(iii)actsoromissionsforwhichweareliableundertheOccupiersLiabilityAct1957,or(iv)any other liability to the extent the same may not beexcludedor restricted as a matter of law or (v) our undertakingsunderparagraphs 9 (in relation to specialist Stamp or Book Salesonly)and 10 of the Buyer’s agreement. The same applies inrespectof the Seller, as if references to us in this paragraphweresubstitutedwithreferencestotheSeller.
14. BOOKS
As stated above, all Lots are sold on an “as is” basis,subjectto all faults, imperfections and errors of Description saveasset out below. However, you will be entitled to reject aBookin the circumstances set out in paragraph 11 of theBuyersAgreement. Please note that Lots comprising printedBooks,unframed maps and bound manuscripts are not liable toVATon the Buyer’sPremium.
15. CLOCKS ANDWATCHES
All Lots are sold “as is”, and the absence of anyreferenceto the condition of a clock or watch does not imply thatthe Lot is in good condition and without defects, repairsor restorations. Most clocks and watches have been repairedinthe course of their normal lifetime and may nowincorporateparts not original to them. Furthermore, Turner & Sonsmakes no representation or warranty that any clock or watch isinworking order. As clocks and watches often contain fineand complex mechanisms, Bidders should be aware that ageneralservice, change of battery or further repair work, for whichtheBuyeris solely responsible, may be necessary. Biddersshouldbe aware that the importation of watches such as Rolex,FrankMuller and Corum into the United States is highlyrestricted.These watches may not be shipped to the USA and can onlybeimportedpersonally.
Taxidermy and RelatedItems
As a Seller of these articles, Turner & Sons undertakes tocomplyfully with Cites and DEFRA regulations. Buyers are advisedtoinform themselves of all such regulations and shouldexpectthe exportation of items to take some time toarrange.

1 THECONTRACT
1.1 hese terms govern the Contract for Sale of theLot by the Seller to theBuyer.

However, if theCataloguestates that Turner & Sons sells the Lotas principal, orsucha statement is made by an announcement bytheAuctioneer, or by a notice at the Sale, or aninsert
in the Catalogue, then Turner & Sons is the Seller forthepurposes of thisagreement.
1.4 The contract is made on the fall of theAuctioneer’shammer in respect of the Lot when it isknocked down toyou
8 FAILURE TO PAY FOR THELOT
8.1 If the Purchase Price for a Lot is not paid toTurner & Sons in full in accordance with the Contract forSale the Seller will be entitled, with the priorwrittenagreement of Turner & Sons but without further noticetoyou, to exercise one or more of the followingrights(whether through Turner & Sons orotherwise):
8.1.1 to terminate immediately the Contract for Sale oftheLot for your breach ofcontract;
8.1.2 to resell the Lot by auction, private treaty oranyother means on giving seven days’ written noticetoyou of the intention toresell;
8.1.3 to retain possession of theLot;
8.1.4 to remove and store the Lot at yourexpense;
8.1.5 to take legal proceedings against you for anysumdue under the Contract for Sale and/or damagesforbreach ofcontract;
8.1.6 to be paid interest on any monies due (after aswellas before judgment or order) at the annualrateof5%perannumabovethebaserateofHsbcBankPlcfromtimetotimetobecalculatedonadailybasisfromthedateuponwhichsuchmoniesbecomepayableuntilthedateofactualpayment;
8.1.7 to repossess the Lot (or any part thereof) whichhasnot become your property, and for thispurpose(unless the Buyer buys the Lot as a Consumerfromthe Seller selling in the course of a Business)youhereby grant an irrevocable licence to the Sellerbyhimself and to his servants or agents to enterupon alloranyofyourpremises(withorwithoutvehicles)during normal Business hours to take possessionofthe Lot or partthereof;
8.1.8 to retain possession of any other property sold toyouby the Sellerat the Sale or any other auction orbyprivate treaty until all sums due under theContractfor Sale shall have been paid in full in clearedfunds;
8.1.9 to retain possession of, and on three months’writtennotice to sell,Without Reserve, any of yourotherproperty in the possession of the Seller and/orofTurner & Sons (as bailee for the Seller) for anypurpose(including, without limitation, other goods soldtoyou) and to apply any monies due to you as aresultof such Sale in satisfaction or part satisfaction ofanyamounts owed to the Seller or to Turner & Sons;and
8.1.10 so long as such goods remain in the possessionofthe Seller or Turner & Sons as its bailee, to rescindthecontract for the Sale of any other goods sold toyou by the Seller at the Sale or at any otherauctionor by private treaty and apply any moniesreceivedfrom you in respect of such goods in part orfull satisfaction of any amounts owed to the Seller orto Turner & Sons byyou.
8.2 You agree to indemnify the Seller against alllegaland other costs of enforcement, all losses andotherExpenses and costs (including any moniespayableto Turner & Sons in order to obtain the release oftheLot) incurred by theSeller (whether or notcourtproceedings will have been issued) as a resultofTurner & Sons taking steps under this paragraph 8 onafull indemnity basis together with interestthereon(after as well as before judgment or order) atthe
rate specified in paragraph 8.1.6 from the dateupon which the Seller becomes liable to pay the sameuntilpayment byyou.
8.3 On any resale of the Lot under paragraph 8.1.2,theSeller will account to you in respect of anybalanceremaining from any monies received by him oron his behalf in respect of the Lot, after the paymentofall sums due to the Seller and to Turner & Sons, within28 days of receipt of such monies by him or onhisbehalf.
9 THE SELLER’SLIABILITY
9.1 The Seller will not be liable for any injury, lossordamage caused by the Lot after the fall oftheAuctioneer’shammer in respect of theLot.
9.2 Subject to paragraph 9.3 below, except forbreachof the express undertaking provided inparagraph2.1.5, the Seller will not be liable for any breachof any term that the Lot will correspond withany
Description applied to it by or on behalf of theSeller,whether implied by the Sale of Goods Act 1979orotherwise.
9.3 Unless the Seller sells the Lot in the course ofa Businessand the Buyer buys it as aConsumer,
9.3.1 theSellerwillnotbeliable(whetherinnegligence,othertort,breachofcontractorstatutorydutyorinrestitution or under the Misrepresentation Act 1967,orinanyotherway)foranylackofconformitywith,orinaccuracy,error,misdescriptionoromissioninanyDescriptionoftheLotoranyEntryorEstimatein relation to the Lot made by or on behalfof the Seller (whether made in writing, includinginthe Catalogue, or on the Website, or orally, orbyconduct or otherwise) and whether made beforeorafter this agreement or prior to or during theSale;
9.3.2 the Seller will not be liable for any loss ofBusiness,Business profits or revenue or income or for lossofreputation or for disruption to Business orwastedtime on the part of the Buyer or of theBuyer’smanagement or staff or, for any indirect lossesorconsequential damages of any kind, irrespectiveinany case of the nature, volume or source of thelossor damage alleged to be suffered, andirrespectiveof whether the said loss or damage is causedbyor claimed in respect of any negligence, othertort,breach of contract, statutory duty,restitutionaryclaim orotherwise;
9.3.3 in any circumstances where the Seller is liable toyouin respect of the Lot, or any act, omission,statement,or representation in respect of it, or thisagreementor its performance, and whether in damages,for
an indemnity or contribution or for arestitutionaryremedyorinanywaywhatsoever,theSeller’sliabilitywill be limited to payment of a sum which willnotexceed by way of maximum the amount ofthePurchase Price of the Lot irrespective in any caseofthe nature, volume or source of any loss ordamage alleged to be suffered or sum claimed as due,and irrespective of whether the liability arises fromanynegligence, other tort, breach of contract,statutoryduty,bailee’sduty,restitutionaryclaimorotherwise.
9.4 Nothingsetoutinparagraphs9.1to9.3abovewillbe construed as excluding or restricting (whetherdirectly or indirectly) any person’s liability orexcludingorrestrictinganyperson’srightsorremediesinrespectof(i)fraud,or(ii)deathorpersonalinjurycaused by the Seller’s negligence (or any personundertheSeller’scontrolorforwhomtheSellerislegally responsible), or (iii) acts or omissions forwhichtheSellerisliableundertheOccupiersLiabilityAct1957,or(iv)anyotherliabilitytotheextentthesamemaynotbeexcludedorrestrictedasamatteroflaw.
10 MISCELLANEOUS
10.1 You may not assign either the benefit or burdenofthe Contract forSale.
10.2 The Seller’s failure or delay in enforcing orexercisingany power or right under the Contract for Salewillnot operate or be deemed to operate as a waiverofhis rights under it except to the extent of anyexpresswaiver given to you in writing. Any such waiverwillnot affect the Seller’s ability subsequently toenforceany right arising under the Contract forSale.
10.3 If either party to the Contract for Sale ispreventedfrom performing that party’s respectiveobligationsunder the Contract for Sale by circumstancesbeyondits reasonable control or if performance ofitsobligations would by reason of suchcircumstancesgive rise to a significantly increasedfinancial
cost to it, that party will not, for so long assuchcircumstancesprevail,berequiredtoperformsuchobligations. This paragraph does not apply totheobligations imposed on you by paragraph6.
10.4 Any notice or other communication to begivenunder the Contract for Sale must be in writing and may be delivered by hand or sent by firstclasspost or air mail or fax transmission, if to theSeller, addressed c/o Turner & Sons at its address or faxnumberin the Catalogue, and if to you to the addressorfax number of the Buyer given in the BiddingForm(unless notice of any change of address is giveninwriting). It is the responsibility of the sender ofthenoticeorcommunicationtoensurethatitisreceivedin a legible form within any applicable timeperiod.
10.5 If any term or any part of any term of theContractfor Sale is held to be unenforceable or invalid,suchunenforceability or invalidity will not affecttheenforceabilityandvalidityoftheremainingtermsorthe remainder of the relevantterm.
10.6 References in the Contract for Sale to Turner & Sonswill,where appropriate, include reference toTurner & Sons’officers, employees andagents.
10.7 The headings used in the Contract for Sale are for convenience only and will not affectitsinterpretation.
10.8 In the Contract for Sale “including”means“including, withoutlimitation”.
10.9 References to the singular will include referencetotheplural(andviceversa)andreferencetoanyonegender will include reference to the othergenders.
10.10 Reference to a numbered paragraph is toaparagraph of the Contract forSale.
10.11 Save as expressly provided in paragraph10.12nothing in the Contract for Sale confers (orpurportsto confer) on any person who is not a party totheContract for Sale any benefit conferred by, ortheright to enforce any term of, the Contract forSale.
10.12 Where the Contract for Sale confers animmunityfrom, and/or an exclusion or restriction of,theresponsibilityand/orliabilityoftheSeller,itwillalsooperate in favour and for the benefit ofTurner & Sons,and the successorsand assigns of Turner & Sons and of such companies andofany officer, employee and agent of Turner & Sonsand such companies, each of whom will be entitledto
relyontherelevantimmunityand/orexclusionand/orrestriction within and for the purposes ofContracts (Rights of Third Parties) Act 1999, which enablesthebenefit of a contract to be extended to a personwhois not a party to the contract, and generally atlaw.
11 GOVERNINGLAW
All transactions to which the Contract for Saleappliesand all connected matters will be governed byand construed in accordance with the laws of thatpart
of the United Kingdom where the Sale takesplaceand the Seller and you each submit to theexclusivejurisdiction of the courts of that part of theUnitedKingdom, save that the Seller may bringproceedingsagainst you in any other court ofcompetentjurisdiction to the extent permitted by the lawsofthe relevant jurisdiction. Turner & Sons has acomplaintsprocedure inplace.

BUYER’SAGREEMENT

PERFORMANCE OF THE CONTRACT FORSALE
|

You undertake to us personally that you will

observe and comply with all your obligations and
|
|

undertakings to the Seller under the Contract forSale
|
|
|
|
|
|
in respect of the Lot.
|
|
|
|
|
3 PAYMENT
3.1 Unless agreed in writing between you and us orasotherwise set out in the Notice to Bidders, youmustpay to us by not later than 4.30pm on thesecondworking day following theSale:
3.1.1 the Purchase Price for theLot;
3.1.2 a Buyer’s Premium in accordance with the ratessetout in the Notice to Bidders,and
3.1.3

if the Lot is marked [AR], an Additional Premium
which is calculated and payable in accordance with
|
|
the Notice to Bidders together with VAT on that sum
|
|
if applicable so that all sums due to us are cleared
|
|
funds by the seventh working day after the Sale.
|
|
|
3.2
|
You must also pay us on demand any Expenses
|
|
payable pursuant to this agreement.
|
|
|
3.3
|
All payments to us must be made in the currency
|
|
in which the Sale was conducted, using, unless
|
|
otherwise agreed by us in writing, one of the
|
|
methods of payment set out in the Notice to
|
|
Bidders. Our invoices will only be addressed to the
|
|
registered Bidder unless the Bidder is acting as an
|
|
agent for a named principal and we have approved
|
|
that arrangement, in which case we will address the
|
|
invoice to the principal.
|
|
|
3.4
|
Unless otherwise stated in this agreement all
|
|
sums payable to us will be subject to VAT at the
|
|
appropriate rate and VAT will be payable by you on
|
|
all such sums.
|
|
|
3.5
|
We may deduct and retain for our own benefit from
|
|
the monies paid by you to us the Buyer’s Premium,
|
|
the Commission payable by the Seller in respect
|
|
of the Lot, any Expenses and VAT and any interest
|
|
earned and/or incurred until payment to the Seller.
|
|
|
3.6
|
Time will be of the essence in relation to any
|
|
payment payable to us. If you do not pay the
Purchase Price, or any other sum due to us in
|
|
accordance with this paragraph 3, we will have the
|
|
rights set out in paragraph 7 below.
|
|
|
3.7
|
Where a number of Lots have been knocked down to
|
|
you, any monies we receive from you will be applied
|
|
firstly pro-rata to pay the Purchase Price of each Lot
|
|
and secondly pro-rata to pay all amounts due to
|
|
TURNERs.
|
|
|
4
|
COLLECTION OF THE LOT
|
|
|
4.1
|
Subject to any power of the Seller or us to refuse
|
|
to release the Lot to you, once you have paid to us,
|
|
in cleared funds, everything due to the Seller and
|
|
to us, we will release the Lot to you or as you may
|
|
direct us in writing. The Lot will only be released on
|
|
production of a buyer collection document, obtained
|
|
from our cashier’s office.
|
|
|
4.2
|
You must collect and remove the Lot at your own
|
|
expense by the date and time specified in the Notice
|
|
to Bidders, or if no date is specified, by 4.30pm on
|
|
the seventh day after the Sale.
|
4.3
|
For the period referred to in paragraph 4.2, the Lot
|
|
can be collected from the address referred to in the
|
|
Notice to Bidders for collection on the days and times
|
|
specified in the Notice to Bidders. Thereafter, the
|
|
Lot may be removed elsewhere for storage and you
|
|
must enquire from us as to when and where you can
|
|
collect it, although this information will usually beset
|
|
out in the Notice to Bidders.
|
|
|
4.4 If you have not collected the Lot by the datespecifiedin the Notice to Bidders, you authorise us,acting
as your agent and on your behalf, to enter intoacontract (the “Storage Contract”) with theStorageContractor for the storage of the Lot on thethencurrent standard terms and conditionsagreedbetween TURNERsand the StorageContractor(copies of which are available on request). If theLot is stored at our premises storage fees at ourcurrentdaily rates (currently a minimum of £3 plus VATperLot per day) will be payable from the expiry oftheperiod referred to in paragraph 4.

Until you have paid the Purchase Price and any
|
Expenses in full the Lot will either be held by us as
|
agent on behalf of the Seller or held by theStorage
|
Contractor as agent on behalf of the Seller and
|
ourselves on the terms contained in theStorage
|
Contract.
|
|
You undertake to comply with the terms of any
|
Storage Contract and in particular to pay thecharges
|
(and all costs of moving the Lot into storage) due
|
under any Storage Contract. You acknowledge and
|
agree that you will not be able to collect the Lot from
|
the Storage Contractor’s premises until you have paid
|
the Purchase Price, any Expenses and all charges due
|
under the StorageContract.
|
|
You will be wholly responsible for packing, handling
|
and transport of the Loton collection and for
|
complying with all import or export regulations in
|
connection with theLot.
|
|
You will be wholly responsible for anyremoval,
|
storage, or other charges for any Lot notremoved
|
in accordance with paragraph 4.2, payable at our
|
current rates, and any Expenses we incur(including
|
any charges due under the Storage Contract), all of
|
which must be paid by you on demand and inany
|
event before any collection of the Lot by you or on
|
your behalf.
|
STORING THELOT
|
|
We agree to store theLot until the earlier ofyour
|
removal of the Lot or until the time and date set out
|
in the Notice to Bidders, on the SaleInformation
|
Page or at the back of the catalogue (or if nodate
|
is specified, by 4.30pm on the seventh day after the
|
Sale) and, subject to paragraphs 6 and 10, tobe
|
responsible as bailee to you for damage to or the loss
|
or destruction of the Lot (notwithstanding that it is
|
not your propertybefore payment of thePurchase
|
Price). If you do not collect the Lot before the time
|
and date set out in the Notice to Bidders (or ifno
|
date is specified, by 4.30pm on the seventhday
|
after the Sale) we may remove the Lot toanother
|
location, the details of which will usually be set out
|
in the relevant section of the Catalogue. If you have
|
not paid for the Lot in accordance with paragraph 3,
|
and the Lot is movedto any third party’spremises,
|
the Lot will be held bysuch third partystrictly to
|
TURNERs’ order and we will retain our lien over the
|
Lot until we have been paid in full in accordance with
|
paragraph 3.
|
RESPONSIBILITY FOR THE LOT
|
|
Only on the payment of the Purchase Price to us
|
will title in the Lot pass to you. However underthe
|
Contract for Sale, the risk in the Lot passed to you
|
when it was knocked down to you.
|
|
You are advised to obtain insurance in respect of the
|
Lot as soon as possible after the Sale.
|
FAILURETOPAYORTOREMOVETHELOTAND PARTPAYMENTS
7.1 If all sums payable to us are not so paid in full atthetime they are due and/or the Lot is not removedinaccordance with this agreement, we willwithoutfurther notice to you be entitled to exercise oneormore of the following rights (without prejudicetoany rights we may exercise on behalf of theSeller):
7.1.1 toterminatethisagreementimmediatelyforyourbreach ofcontract;
7.1.2 to retain possession of theLot;
7.1.3 to remove, and/or store the Lot at yourexpense;
7.1.4 to take legal proceedings against you forpaymentof any sums payable to us by you (includingthePurchase Price) and/or damages for breachofcontract;
7.1.5 tobepaidinterestonanymoniesduetous(after aswellasbeforejudgementororder)attheannualrateof5%perannumabovethebaselendingrateofNationalWestminsterBankPlcfromtimetotimetobecalculatedonadailybasisfromthedateupon
which such monies become payable until the dateofactualpayment;
7.1.6 to repossess the Lot (or any part thereof) whichhasnot become your property, and for thispurpose(unless you buy the Lot as a Consumer) youherebygrant an irrevocable licence to us, by ourselves,ourservants or agents, to enter upon all or any ofyourpremises (with or without vehicles) duringnormalbusiness hours to take possession of any Lot orpartthereof;
7.1.7 to sell the Lot Without Reserve by auction,privatetreaty or any other means on giving youthreemonths’ written notice of our intention to doso;
7.1.8 to retain possession of any of your other propertyinour possession for any purpose (including,withoutlimitation, other goods sold to you or with usforSale) until all sums due to us have been paid infull;
7.1.9 to apply any monies received from you foranypurpose whether at the time of your default oratany time thereafter in payment or part paymentofany sums due to us by you under thisagreement;
7.1.10 on three months’ written notice to sell,Without Reserve, any of your other property in ourpossessionor under our control for any purpose (includingothergoods sold to you or with us for Sale) and toapplyany monies due to you as a result of such Saleinpayment or part payment of any amounts owedtous;
7.1.11 refuse to allow you to register for a future Saleortoreject a bid from you at any future Sale or torequireyou to pay a deposit before any bid is accepted byusat any future Salein which case we will be entitled to apply such deposit in payment or part payment,asthe case may be, of the Purchase Price of any Lotofwhich you are theBuyer.
7.2 You agree to indemnify us against all legal and othercosts, all losses and all other Expenses (whetherornot court proceedings will have been issued)incurredby us as a result of our taking steps under thisparagraph 7 on a full indemnity basis togetherwithinterestthereon(afteraswellasbeforejudgementororder) at the rate specified in paragraph 7.1.5fromthe date upon which we become liable to paythesame until payment byyou.If you pay us only part of the sums due to ussuchpaymentshallbeappliedfirstlytothePurchasePriceof the Lot (or where you have purchased morethanone Lot pro-rata towards the Purchase Price of eachLot) and secondly to the Buyer’sPremium (orwhereyou have purchased more than one Lot pro-ratatothe Buyer’s Premium on each Lot) and thirdly toanyother sums due tous.
7.3 We will account to you in respect of any balancewe hold remaining from any monies received by usinrespect of any Sale of the Lot under our rightsunderthis paragraph 7 after the payment of all sums duetous and/or the Seller within 28 days of receipt by usofall such sums paid tous.
8 CLAIMSBYOTHERPERSONSINRESPECTOFTHELOT
8.1 Whenever it becomes apparent to us that theLot is the subject of a claim by someone otherthanyou and other than the Seller (or that such aclaimcan reasonably be expected to be made), wemay,at our absolute discretion, deal with the Lot in any manner which appears to us to recognisethe
legitimateinterestsofourselvesandtheotherpartiesinvolved and lawfully to protect our positionand
our legitimate interests. Without prejudice tothegenerality of the discretion and by way ofexample,wemay:
8.1.1 retain the Lot to investigate any question raisedorreasonablyexpectedbyustoberaisedinrelationtothe Lot;and/or
8.1.2 deliver the Lot to a person other than you;and/or
8.1.3 commenceinterpleaderproceedingsorseekanyother order of any court, mediator, arbitratororgovernment body;and/or
8.1.4 require an indemnity and/or security from youinreturn for pursuing a course of action agreed tobyyou.
8.2 The discretion referred to in paragraph8.1:
8.2.1 may be exercised at any time during which wehaveactual or constructive possession of the Lot, oratany time after such possession, where thecessationof such possession has occurred by reason ofanydecision, order or ruling of any court,mediator,arbitrator or government body;and
8.2.2 will not be exercised unless we believe thatthereexists a serious prospect of a good arguable caseinfavour of theclaim.
9 FORGERIES
9.1 WeundertakeapersonalresponsibilityforanyForgery in accordance with the terms ofthisparagraph9.
9.2 Paragraph 9 applies onlyif:
9.2.1 your name appears as the named person towhomthe original invoice was made out by us in respectofthe Lotand that invoice has been paid;and
9.2.2 you notify us in writing as soon asreasonablypracticable after you have become aware that theLot is or may be a Forgery, and in any event withinoneyear after the Sale, that the Lot is a Forgery;and
9.2.3 within one month after such notification hasbeengiven, you return the Lot to us in the sameconditionas it was at the time of the Sale, accompaniedbywritten evidence that the Lot is a Forgery anddetailsof the Saleand Lot number sufficient to identifytheLot.
9.3 Paragraph 9 will not apply in respect of a Forgeryif:
9.3.1 the Entry in relation to the Lot contained intheCataloguereflected the then acceptedgeneralopinion of scholars and experts or fairlyindicatedthat there was a conflict of such opinion orreflectedthe then current opinion of an expertacknowledgedto be a leading expert in the relevant field;or
9.3.2 it can be established that the Lot is a Forgeryonlyby means of a process not generally acceptedforuse until after the date on which the Cataloguewas published or by means of a process which itwas unreasonable in all the circumstances for us tohaveemployed.
9.4 YouauthoriseustocarryoutsuchprocessesandtestsontheLotasweinourabsolutediscretionconsider necessary to satisfy ourselves that the Lotisor is not aForgery.
9.5 If we are satisfied that a Lot is a Forgery we will(asprincipal) purchase the Lot from you and youwilltransfer the title to the Lot in question to us,withfull title guarantee, free from any liens,charges, encumbrances and adverse claims, inaccordancewith the provisions of Sections 12(1) and 12(2)ofthe Sale of Goods Act 1979 and we will pay toyouan amount equal to the sum of the PurchasePrice,Buyer’s Premium, VAT and Expenses paid by youinrespect of theLot.
9.6 The benefit of paragraph 9 is personal to,and incapable of assignment by,you.
9.7 IfyousellorotherwisedisposeofyourinterestintheLot, all rights and benefits under this paragraphwillcease.
9.8 Paragraph 9 does not apply to a Lot made up oforincluding a Chinese painting or Chinese paintings,amotor vehicle or motor vehicles, a Stamp orStampsor a Book orBooks.
10 OURLIABILITY
10.1 We will not be liable whether in negligence,othertort, breach of contract or statutory duty orinrestitution or under the Misrepresentation Act1967or in any other way for lack of conformity withorany inaccuracy, error, misdescription or omissioninany Description of the Lot or any Entry orEstimatein respect of it, made by us or on our behalf orbyor on behalf of the Seller (whether made inwriting, including in the Catalogue, or on theTurner & Sons’
Website, or orally, or by conduct or otherwise)and whether made before or after this agreement orpriorto or during theSale.
10.2 Our duty to you while the Lot is at your riskand/oryourpropertyandinourcustodyand/orcontrolistoexercise reasonable care in relation to it, but wewillnot be responsible for damage to the Lot or tootherpersons or things causedby:
10.2.1 handling the Lot if it was affected at the time ofSaleto you by woodworm and any damage is caused asaresult of it being affected by woodworm;or
10.2.2 changes in atmospheric pressure; nor will webeliablefor:
10.2.3 damage to tension stringed musical instruments;or
10.2.4 damage to gilded picture frames, plasterpictureframes or picture frame glass; and if the Lot isorbecomes dangerous, we may dispose of itwithoutnotice to you in advance in any manner we thinkfitand we will be under no liability to you for doingso.
10.3.1 We will not be liable to you for any loss ofBusiness,Business profits, revenue or income or for lossofBusinessreputation or for disruption to Businessorwasted time on the part of the Buyer’smanagementor staff or, if you are buying the Lot in the courseofa Business, for any indirect losses orconsequentialdamages of any kind, irrespective in any caseof
thenature,volumeorsourceofthelossordamageallegedtobesuffered,andirrespectiveofwhetherthesaidlossordamageiscausedbyorclaimed
in respect of any negligence, other tort, breachofcontract,statutoryduty,bailee’sduty,arestitutionaryclaim orotherwise.
10.3.2 Unless you buy the Lot as a Consumer, inanycircumstances where we are liable to youinrespect of a Lot, or any act, omission,statement,representation in respect of it, or thisagreementor its performance, and whether in damages,foranindemnityorcontributionorforarestitutionary
remedy or in any way whatsoever, our liability willbelimited to payment of a sum which will notexceedby way of maximum the amount of thePurchasePrice of the Lot plus Buyer’s Premium (less anysumyou may be entitled to recover from theSeller)irrespective in any case of the nature, volumeorsource of any loss or damage alleged to besufferedor sum claimed as due, and irrespective ofwhethertheliabilityarisesfromnegligence,othertort,
breach of contract, statutory duty, bailee’s duty,arestitutionaryclaimorotherwise.
You may wish to protect yourself against lossbyobtaininginsurance.
10.4 Nothingsetoutabovewillbeconstruedasexcludingor restricting (whether directly or indirectly)anyperson’s liability or excluding or restricting anyperson’srightsorremediesinrespectof(i)fraud,or
(ii)deathorpersonalinjurycausedbyournegligence(oranypersonunderourcontrolorforwhomwearelegally responsible), or (iii) acts or omissions forwhichweareliableundertheOccupiersLiabilityAct1957,or(iv)anyotherliabilitytotheextentthesamemaynotbeexcludedorrestrictedasamatteroflaw,or
(v) under our undertaking in paragraph 9 oftheseconditions.
11 MISCELLANEOUS
11.1 You may not assign either the benefit or burdenofthisagreement.
11.2 Our failure or delay in enforcing or exercisinganypower or right under this agreement will notoperateor be deemed to operate as a waiver of ourrightsunder it except to the extent of any expresswaivergiven to you in writing. Any such waiver willnotaffect our ability subsequently to enforce anyrightarising under thisagreement.
11.3 If either party to this agreement is preventedfromperforming that party’s respective obligations under this agreement by circumstancesbeyond its reasonable control or if performance ofits
obligations would by reason of such circumstancesgive rise to a significantly increasedfinancial
cost to it, that party will not, for so long assuchcircumstancesprevail,berequiredtoperformsuchobligations. This paragraph does not apply totheobligations imposed on you by paragraph3.
11.4 Any notice or other communication to begivenunder this agreement must be in writing andmaybe delivered by hand or sent by first class postorair mail or fax transmission (if to Turner & Sonsmarkedfor the attention of the Company Secretary), totheaddress or fax number of the relevant party givenin the Contract Form (unless notice of anychangeof address is given in writing). It is theresponsibilityof the sender of the notice or communicationto
ensurethatitisreceivedinalegibleformwithinanyapplicable timeperiod.
11.5 If any term or any part of any term of thisagreementis held to be unenforceable or invalid,suchunenforceability or invalidity will not affecttheenforceability and validity of the remaining termsorthe remainder of the relevantterm.
11.6 References in this agreement to Turner & Sons will,whereappropriate, include reference to Turner & Sons’officers,employees andagents.
11.7 The headings used in this agreementarefor convenience only and will not affectitsinterpretation.
11.8 In this agreement “including” means“including,withoutlimitation”.
11.9 References to the singular will include referencetotheplural(andviceversa)andreferencetoanyonegender will include reference to the othergenders.
11.10 Reference to a numbered paragraph is toaparagraph of thisagreement.
11.11 Save as expressly provided in paragraph12.nothing in this agreement confers (or purportstoconfer) on any person who is not a party tothisagreement any benefit conferred by, or the righttoenforce any term of, thisagreement.
11.12 Where this agreement confers an immunityfrom,and/oranexclusionorrestrictionof,theresponsibilityand/or liability of Turner & Sons, it will also operateinfavour and for the benefit of Turner & Sons’holdingcompany and the subsidiaries of suchholdingcompany and the successors and assigns ofTurner & Sonsand of such companies and of any officer,employeeand agent of Turner & Sons and such companies, each
of whom will be entitled to rely on therelevantimmunityand/orexclusionand/orrestrictionwithinand for the purposes of Contracts (Rights ofThirdParties) Act 1999, which enables the benefit ofacontract to be extended to a person who is notaparty to the contract, and generally at law.
12 GOVERNINGLAW
All transactions to which this agreementappliesand all connected matters will be governed byand construed in accordance with the laws of thatpartof the United Kingdom where the Sale takes(or
is to take) place and we and you each submit tothe exclusive jurisdiction of the courts of thatpartof the United Kingdom, save that we maybring proceedings against you in any other courtofcompetent jurisdiction to the extent permittedbythe laws of the relevant jurisdiction. Turner & Sons hasacomplaints procedure inplace.
DATA PROTECTION – USE OF YOURINFORMATION
Where we obtain any personal information about you, weshallonly use it in accordance with the terms of our PrivacyPolicy(subject to any additional specific consent(s) you mayhavegiven at the time your information was disclosed). “Catalogue” the Cataloguerelating to the relevant Sale,includinganyrepresentationoftheCataloguepublishedonour Website.
“Commission” the Commission payable by the Seller toTurner & Sons calculated at the rates stated in the ContractForm.“ConditionReport”areportonthephysicalconditionofaLot provided to a Bidder or potential Bidder by Turner & Sons onbehalfof theSeller.

“ContractforSale”theSalecontractenteredintobytheSellerwith the Buyer (see Appendix 1 in theCatalogue).“Contractual Description” the only Description of the Lot (being that part of the Entry about the Lot in theCataloguewhich is in bold letters, any photograph (except for thecolour)and the contents of any Condition Report) to which the Sellerundertakes in the Contract of Sale theLotcorresponds.“Description” any statement or representation in any
way descriptive of the Lot, including any statementorrepresentationrelatingtoitsauthorship,attribution,condition,provenance,authenticity,style,period,age,suitability,quality,origin, value, estimated selling price (including theHammerPrice).
“Entry” a written statement in the Catalogue identifying theLot and its Lot number which may contain a Descriptionandillustration(s) relating to the Lot.
“Estimate” a statement of our opinion of the rangewithinwhich the hammer is likely tofall.
“Expenses” charges and Expensespaid or payable byTurner & Sons in respect of the Lotincluding legal Expenses,banking charges and Expenses incurred as a result ofan electronic transfer of money, charges and Expenses for lossand damage cover, insurance, Catalogue and otherreproductionsand illustrations, any customs duties, advertising, packingorshipping costs, reproductions rights’ fees, taxes, levies, costsoftesting, searches or enquiries, preparation of the LotforSale,storage charges, removal charges, removal charges orcosts
of collection from the Seller as the Seller’s agents or fromadefaulting Buyer, plus VAT ifapplicable.
“Forgery”animitationintendedbythemakeroranyotherperson to deceive as to authorship, attribution,origin, authenticity, style, date, age, period, provenance,culture,source or composition, which at the date of the Sale hadavalue materially less than it would have had if the Lot hadnotbeen such an imitation, and which is not stated to be such an imitation in any description of the Lot. A Lot will not beaForgery by reason of any damage to, and/or restorationand/or modification work (including repainting or overpainting)having been carried out on the Lot, where thatdamage,
restoration or modification work (as the case may be) doesnotsubstantially affect the identity of the Lot as one conformingtothe Description of theLot.
“Guarantee”theobligationundertakenpersonallybyTurner & Sons to the Buyer in respect of any Forgery and, inthecase of specialist Stamp Sales and/or specialist Book Sales, aLot made up of a Stamp or Stamps or a Book or Books as set out in the Buyer’sAgreement.
“Hammer Price” the price in the currency in which the Saleisconducted at which a Lot is knocked down by the Auctioneer.
“LossandDamageWarranty”meansthewarrantydescribedin paragraph 8.2 of the Conditions of Business.
“LossandDamageWarrantyFee”meansthefeedescribedin paragraph 8.2.3 of the Conditions of Business.
“Lot” any item consigned to Turner & Sons with a view to itsSaleat auction or by private treaty (and reference to any Lotwillinclude, unless the context otherwise requires, referencetoindividual items comprised in a group of two or moreitemsoffered for Sale as oneLot).
“MotoringCatalogueFee”afeepayablebytheSellertoTurner & Sons in consideration of the additional work undertakenby Turner & Sonsin respect of the cataloguing of motorvehiclesand in respect of the promotion of Sales of motorvehicles.“NewBondStreet”meansTurner & Sons’saleroomat101NewBond Street, London W1S1SR.
“Notional Charges” the amount of Commission and VAT which would have been payable if the Lot had been sold attheNotionalPrice.
“NotionalFee”thesumonwhichtheConsignmentFeepayable to Turner & Sons by the Seller is based and whichiscalculated according to the formula set out in theConditionsofBusiness.
“NotionalPrice”thelatestintimeoftheaverageofthehigh and low Estimates given by us to you or stated intheCatalogue or, if no such Estimates have been given orstated,the Reserve applicable to theLot.
“NoticetoBidders”thenoticeprintedatthebackorfrontofour Catalogues.
“Purchase Price” the aggregate of the Hammer Price andVATon the Hammer Price (where applicable), the Buyer’sPremiumand VAT on the Buyer’s Premium and any Expenses.“Reserve”theminimumpriceatwhichaLotmaybesold(whetheratauctionorbyprivatetreaty).
“Sale” the auction Sale at which a Lot is to be offered for Sale
by Turner & Sons.
“SaleProceeds”thenetamountduetotheSellerfromtheSale of a Lot, being the Hammer Price less the Commission,anyVAT chargeable thereon, Expenses and any other amountdueto us in whatever capacity and howsoeverarising.
“Seller”thepersonwhoofferstheLotforSalenamedontheContractForm.Wherethepersonsonamedidentifiesontheformanotherpersonasactingashisagent,orwherethepersonnamedontheContractFormactsasanagentfora
principal (whether such agency is disclosed to Turner & Sons ornot),“Seller” includes both the agent and the principal who shallbejointlyandseverallyliableassuch.TheSellerisalsoreferredtointheConditionsofBusinessbythewords“you”and“your”.“SpecialistExamination”avisualexaminationofaLotbyaspecialist on theLot.
“Stamp” means a postage Stamp offered for Sale ataSpecialist StampSale.
“StandardExamination”avisualexaminationofaLotbyanon-specialist member of Turner & Sons’staff.
“Storage Contract” means the contract described inparagraph 8.3.3 of the Conditions of Business or paragraph
4.4 of the Buyer’s Agreement (asappropriate).
“Storage Contractor” means the company identified as suchin theCatalogue.
“Terrorism”meansanyactorthreatenedactofterrorism,whether any person is acting alone or on behalf of orinconnection with any organisation(s) and/orgovernment(s),committed for political, religious or ideological orsimilarpurposes including, but not limited to, the intentiontoinfluence any government and/or put the public or anysectionof the public intofear.
“TrustAccount”thebankaccountofTurner & SonsintowhichallsumsreceivedinrespectofthePurchasePriceofany
Lot will be paid, such account to be a distinct andseparateaccount to Turner & Sons’ normal business bankaccount.
“VAT” value added tax at the prevailing rate at the date of the
Sale in the UnitedKingdom.
“Website” Turner & Sons Website at www.Turner & Sons.com“Withdrawal Notice” the Seller’s written notice to Turner & Sonsrevoking Turner & Sons’ instructions to sell aLot.
“WithoutReserve”wherethereisnominimumpriceatwhich a Lot may be sold (whether at auction or byprivatetreaty).

The following expressions have specific legal meaningswithwhich you may not be familiar. The following glossaryisintended to give you an understanding of thoseexpressionsbut is not intended to limit their legalmeanings:“artist’sresaleright”:therightofthecreatorofaworkofartto receive a payment on Sales of that work subsequent totheoriginal Saleof that work by the creator of it as set out intheArtists Resale Right Regulations2006.
“bailee”: a person to whom goods are entrusted.“indemnity”:anobligationtoputthepersonwhohasthebenefit of the indemnity in the same position in whichhewould have been, had the circumstances giving rise totheindemnity not arisen and the expression “indemnify”isconstruedaccordingly.
“interpleaderproceedings”:proceedingsintheCourtstodetermine ownership or rights over aLot.
“knockeddown”:whenaLotissoldtoaBidder,indicatedbythe fall of the hammer at theSale.
“lien”: a right for the person who has possession of the Lottoretain possession ofit.
“risk”:thepossibilitythataLotmaybelost,damaged,destroyed, stolen, or deteriorate in condition or value.
“title”: the legal and equitable right to the ownership of aLot.“tort”:alegalwrongdonetosomeonetowhomthewrongdoer has a duty ofcare.
SALE OF GOODS ACT1979
The following is an extract from the Sale of Goods Act1979:“Section 12 Implied terms about title,etc
(1) In a contract of sale, other than one to whichsubsection
(3) below applies, there is an implied term on the partofthe seller that in the case of a sale he has a right tosellthe goods, and in the case of an agreement to sell hewill have such a right at the time when the property istopass.
(2) In a contract of sale, other than one to whichsubsection
(3)below applies, there is also an implied termthat-
(a) the goods are free, and will remain freeuntilthe time when the property is to pass, fromanycharge or encumbrance not disclosed orknownto the buyer before the contract is made,and
(b) the buyer will enjoy quiet possession of thegoodsexcept in so far as it may be disturbed bytheowner or other person entitled to thebenefit
of any charge or encumbrance so disclosedorknown.
(3) This subsection applies to a contract of sale in thecaseof which there appears from the contract or is tobeinferred from its circumstances an intention thattheseller should transfer only such title as he or athirdperson mayhave.
(4) In a contract to which subsection (3) above appliesthereis an implied term that all charges orencumbrancesknown to the seller and not known to the buyerhavebeen disclosed to the buyer before the contract ismade.
(5) In a contract to which subsection (3) aboveappliesthere is also an implied term that none of thefollowingwill disturb the buyer’s quiet possession of thegoods,namely:
(a) theseller;
(b) in a case where the parties to the contractintendthat the seller should transfer only such title asathird person may have, thatperson;
(c) anyone claiming through or under the sellerorthat third person otherwise than under acharge or encumbrance disclosed or known to thebuyerbefore the contract ismade.
(5A) As regards England and Wales and Northern Ireland,theterm implied by subsection (1) above is a conditionand the terms implied by subsections (2), (4) and (5)abovearewarranties.”
