Conditions of Auction

(The German version of these Conditions of Auction is the only legally binding version. The translated version is not legally binding and is for convenience only.)

The auctions of Ms Julie Weissenberg-Déville, proprietor of the Signens auction house and referred to hereafter as "the auctioneer", take place under the following conditions:

1. The auctioneer holds auctions on behalf and on account of her clients who remain incognito unless the bidder has a reasonable interest in knowing the client's identity. The purchase agreement therefore comes into being between the consignor of the item auctioned andthebidder. Items are auctioned voluntarily.
2. All items may be viewed and inspected before the auction. Prospective buyers are liable for any damage they cause to the items on display.The items are used and are auctioned with noliability by the auctioneer for damage and defects in title.No guarantees and warrantiesare given. Catalogue descriptions are made following expert and meticulous examination;however, these are not assured characteristics as defined in law.
3. The auctioneer reserves the right to correct information in catalogues concerning the goods to be auctioned. Corrections will be made either in a written notice displayed at the place of the auction or orally by the auctioneer immediately before each item is auctioned. Should content in the online catalogue and the printed catalogue differ, the content of the printed version will be authoritative.
4. The auctioneer reserves the right to combine or separate numbers in the catalogue, offer them in a different order or to withdraw them.
5. All bids are deemed to be given by the bidder on his/her own behalf and on his/her own account.
Written and telephone bids (pre-sale bids) must be signed and be received by the auctioneer no later than 24 hours before the beginning of the auction,require written confirmation (fax oremail will be sufficient) by the auctioneer and must specify the items,catalogue number and description. In cases of doubt, the catalogue number is authoritative. The auctioneeraccepts no liability for making or maintaining telephone connections.
6. Auctionsare held in euros. The auctioneer reserves the right to determine the increase in the amount of each bid. Providing the reserve price is reached,the knockdowngoes to the highest bid after the third call. If the reserve price is not reached,the auctioneer may determine the successful bidor refuse to accept any bid for any particular reason.If the auctioneer determines the successful bid, the client is informed immediately after the end of the auction andrequested to notify his/her decision within two weeks. In this case, the bidder remains bound by his/her bid until the client has made a decision.If the auctioneer receives no unconditional declaration of acceptance within this period, the award of the successful bid expires. If several persons have made a successful bid simultaneously, the successful bidder is decided by the drawing of lots. The auctioneeris authorised to withdraw the successful

bidandoffer the item for auction again if a higher bid made in good time is mistakenly overlooked or if there are other doubts about the successful bid.
7. A 20% surcharge plus the applicable value added tax is charged on the knockdown price (see No. 6). The bidder will therefore be charged value added tax on the surcharge only.A 19% or 7% value added tax (depending on the type of goods) is added to the net invoice price (knockdown price + surcharge) for items marked "#"in the catalogue.
8. Payments are made to the auctioneerin cash in euros (€). All cashless payments are accepted only by special agreement. Ifthe auctioneer agrees to cashlesspayment, all resulting costs, taxes and fees of the payment(including bank charges deducted bythe auctioneer) will be charged to the bidder. The auctioneeris not obliged to hand over the auctioned item until full payment by the bidder (in cases of cashless payment, this will only be after unconditional confirmation of the credit from the bank). Ownership will not transfer until all claims against the bidder when the knockdown was given have been satisfied. Thebiddermay only offset claims against the auctioneer if these are undisputed or have been established in law. The bidder has no rights of retention if these are not based on the same contractual relationship.
A successful bid obliges the bidder to immediately acceptthe goods and paythe purchase price. Arrears of payment come into force 14 days after the successful bid and unconditional acceptance of the goods.Interest on arrears is calculated in accordance with the German Civil Code. In cases of payment arrears, the auctioneer maycancel the contract after setting an appropriate grace period. All rights of the purchaser to the item purchased will then expire; the auctioneer will then be entitled to claim compensation for loss of profits. If a lower price is obtained at a subsequent auction, damages will be the difference in the price plus expenses incurred at the second auction. In cases of payment arrears, the auctioned itemwill be stored by the auctioneer at the purchaser'sexpense and risk;the auctioneer is entitled but not obliged to take out an insurance policy at the purchaser's expenseorto take other measures to preserve the value of the goods. The auctioneer may at any timestore items not collected on behalf of and at the expense of the purchaser at the premises of a third party. If the auctioneer stores goods at her own premises, she may require payment of the usual storage charges (plus administration charges). Items are only shipped at the request and instructions of the successful bidder and at his/her expense and risk.Lossordamage transfers to thesuccessful bidderonly aftera successful bid, risk of accidental destruction.However, ownership of the bid-for item will not transfer until full payment of the purchase price and the goods are handed over. The purchase price for bidderswho have submitted bids in writing or by telephone will be due on receipt of the invoice. Bank charges incurred are paid for by the successful bidder.
9. The auctioneer andher employees will be liable for contractual and tortious damages claims only in cases of intentional or grossly negligent breaches of duty. This limitation of liability does not apply to intentional or negligently damage causing injury, death or harm to human health.

10. If agreed, the place of fulfilment and jurisdiction is Cologne. German law applies. The provisions of the UN Convention on Contracts on the International Sale of Goods dated 11 April 1980 (CISG; BGBl 89 II) do not apply.
11. Should any one of these provisions be or become wholly or partially invalid, the remaining provisions remain valid. The invalid provision will be replaced by a valid provision that comes as close as possible to the commercial content and purpose of the invalid provision. Ancillary agreements must be in writing.
12. Theseconditions of auctionalso apply to retrospective private sales of items to purchasersby the auctioneer.

Julie Weißenberg-Déville 女士(Signens 拍卖场的所有人,以下简称“拍卖人”)按照下列的条件进行拍卖:

 

1.拍卖人以委托人的名义进行拍卖,但拍卖结果由委托人承担,此处的委托人是匿名的,除非竞买人有权获悉委托人的姓名。因此购买合同在拍卖对象的提供人和竞买人之间达成。拍卖自愿进行。

 

 

 

2.竞买人可以在拍卖之前核查全部拍卖标的。如果此时陈列出来的拍卖标的损坏,那么相关的利害关系人就要对这些损坏承担责任。这些拍卖标的是旧物,因此拍卖人对它们进行拍卖时,对它们的缺陷与不足不承担责任,并且免除所有的保修责任。物品图录上的说明是在专业和负责的检查之后作出的,但是这些说明与法律意义上的担保无关。

 

 

 

3.拍卖人有权纠正与拍卖物品有关的物品图录。这种纠正行为或者通过拍卖现场的书面拍卖通告作出,或者在某个拍卖物品的拍卖之前直接由拍卖人向竞买人进行口头说明。如果在线图录与打印出来的图录内容不一致,那么以打印的版本为准。

 

 

 

4.拍卖人有权合并、拆分物品图录的编号,以其他的顺序提供图录编号或者撤销图录编号。

 

 

 

5.所有的出价都视为出价人以自己的名义作出,并且都记入出价人自己的账户。

 

 

 

书面出价和电话出价(缺席竞价)必须至少在拍卖开始之前 24 小时内签署,并送交给拍卖人,这种报价需要拍卖人的书面确认(传真或电子邮件足矣)。这些出价在指定拍卖标的时必须列举出物品图录编号和物品图录名称。如有矛盾,以物品图录编号为准。拍卖人不保证是否能够建立电话通话,以及是否能够维持电话通话。

 

6.该拍卖行为使用的货币是欧元。拍卖人有权更改所有的加价幅度。只要达到了最低价格,那么在拍卖人三次号召出价人出价之后,拍卖人将拍卖标的拍板给最高出价人。如果未达到最低出价或者存在其他特殊原因,那么拍卖人有权不拍板。如果拍卖人不拍板,那么在拍卖结束之后立即通知委托人,并且要求委托人在两周内告知自己的决定。在这种情况下,在委托人作出决定之前,保留出价人的出价。如果出价人在这段时间内没有收到无条件的接受出价声明,那么该拍板失效。如果多个人递交了同样的报价,那么抽签决定拍板。如果拍卖人错误地漏掉及时递交的更高出价,或者对拍板存在其他的怀疑,那么拍卖人有权撤销作出的拍板,然后重新进行拍卖。

 

 

 

7.在成交价(参见第 6 项)的基础上还要征收 20% 的附加费加上适用的增值税。因此对于竞买人来说,仅是收取附加费的增值税。在物品图录中用 # 标记的拍卖标的,在净发票价格的基础上额外加上 19% 或者 7%,增加的百分比与货物类型有关。

 

 

 

8.费用应用欧元现金支付给拍卖人。所有类型的非现金支付仅在特别协商时采用,但这并非正式的支付,如出现问题可以取消这种支付方式。如果拍卖人公开同意非现金式的支付,那么这种支付(包括拍卖人花费的银行费用)触发的所有税费由竞买人承担。在竞买人支付所欠金额(在非现金支付时,在获得无条件银行信贷后才算支付完成)之前,拍卖人没有义务给出拍卖标的。只有竞买人支付了拍板时形成的应收账款,拍卖人才执行财物的转移。竞买人只能用无可争议或者法律最终确定的应收账款来抵消拍卖人的应收账款。只要留置权不是基于类似的合同关系,那么竞买人就不得使用留置权。

 

 

 

拍板这种行为使得竞买人有义务立即接受并支付购买价格。在拍板或者无条件接受的 14 天之后的支付视为延迟支付。这时就要计算民法典上规定的滞纳金。在延迟支付时,拍卖人可以在规定的最后期限后撤销合同。撤销合同之后就可以废除买家对购买物品的所有权利,但是拍卖人有权索取其利润损失。如果在以后的拍卖中获得低于此次拍卖的价格,那么就存在差价损失以及第二次拍卖的费用。如果在支付延迟时将拍卖标的存放在拍卖人处,存放拍卖标的所产生的费用和危险由买家承担,此时拍卖人有权购买保险,费用由买家承担,或者采取其他的保值措施,但是这些都不是拍卖人的义务。拍卖人随时可以将未取走的拍卖标的,以买家的名义存放在第三方,且费用由买家承担。在拍卖人自己存储拍卖标的时,拍卖人可以要求买家支付一般性的存储费用(加上处理费用)。只有竞买人接受邮寄拍卖标的,并且发出邮寄命令之后,拍卖人才能邮寄拍卖标的,由此产生的费用和危险由竞买人承担。拍板之后,拍卖标的意外发生毁灭、遗失或损坏的危险转移到竞买人,但是拍卖物品的所有权在完全支付购买价格和转交物品之后才发生转移。竞买人书面或者通过电话提交的购买价格应当在收到发票后支付。产生的所有银行费用都由竞买人承担。

 

9.只有违反义务的行为是由于蓄意或者严重疏忽大意而导致,拍卖人及其第三方利害人才对违反合同或者违法的损失承担赔偿责任。拍卖人由于生命、身体和健康受到伤害的原因,才蓄意或者疏忽大意导致损伤的发生,在这种情况下,上述责任限制不适用。

 

 

 

10.履行地点和管辖法院只要能够达成都是德国科隆。德国法律适用。1980 年 4 月 11 日颁布的国际货物购买合同的联合国公约(CISG;BGBl 89 II)不适用。

 

 

 

11.如果本规定的全部或部分失效,或者即将失效,那么它其余的条款继续有效。失效的部分应该用与失效规定在经济内容和目的方面最接近的有效规定替代。补充协议应当采用书面的形式。

 

 

 

12.本拍卖条件也适用于拍卖之后,私下通过拍卖人向买家销售拍卖标的。
